Coach Terms of Service

Saturday Coach Portal
Effective October 17, 2026

Important. Please read all terms and conditions of this agreement before proceeding. This agreement contains a binding arbitration clause and class action waiver in Section 24 and Section 24 that affect your legal rights. By clicking "I Accept" in the Coach Portal or by accessing the Portal, you accept all terms. If you do not agree, you may not use the Coach Portal.

Saturday Inc. ("Saturday," "we," "us," or "our"), a Delaware corporation, operates the Saturday Coach Portal at coach.saturday.fit (the "Portal"), a web-based platform that enables coaches, trainers, and sport professionals ("you," "your," or "Coach") to manage athlete relationships, create training and nutrition plans, bill athletes through Stripe Connect, and organize coaching operations. These Coach Terms of Service ("Coach Terms") govern your use of the Portal and related services (collectively, the "Service").

You are also bound by Saturday's App Terms of Use & License Agreement ("App Terms") and Privacy Policy to the extent you use the Saturday mobile application or website as an end user. For provisions not specifically addressed in these Coach Terms, the App Terms apply. Where these Coach Terms conflict with the App Terms on Portal-related matters, these Coach Terms govern.

1. Acceptance and Eligibility

The effective date of these Coach Terms is the earlier of your first clicking "I Accept" in the Portal or your first accessing the Service. By accepting, you represent and warrant that:

  • You are at least 16 years of age. If you are between 16 and 17, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Coach Terms on your behalf.
  • You have the legal capacity to enter into binding agreements in the jurisdiction where you reside or operate.
  • You are not located in, under the control of, or a national or resident of any country or territory subject to United States trade sanctions, and you are not on any U.S. government restricted-parties list.
  • If you use the Service's billing features, you are located in the United States. Saturday sets up Stripe Connect accounts only for coaches located in the United States.
  • All information you provide to Saturday and to Stripe is accurate, current, and complete, and you will promptly update it upon any change.

2. Description of the Service

The Portal provides infrastructure for coaching operations, including:

  • Athlete management. Roster management, per-athlete profiles, activity creation and review, nutrition settings, and product configuration.
  • Access controls and audit logging. Role-based access control for organization members, access permissions for each coach-athlete relationship, and an audit log of administrative actions.
  • Billing. Stripe Connect integration enabling you to bill athletes directly for coaching services through recurring monthly or yearly subscriptions.
  • Organization hierarchy. Multi-tier organizational structures with parent-child relationships, member role management, and delegated administration.
  • Trial grants. The ability to extend free trial access to athletes within tier-based annual allocations.

Saturday provides the Portal as infrastructure. Saturday does not provide coaching services, does not supervise or direct your coaching activities, and is not a party to any agreement between you and your athletes.

3. Coach Tiers and Subscriptions

Tier Structure

The Portal offers the following tiers. Pricing, included athlete counts, and assistant limits are as follows at the time of these Coach Terms and may be updated with notice per Section 26:

Tier Monthly Price Athlete Memberships Included Assistants Included
Coach (Free) $0 None 0
Pro Coach $12.99 2 1
Head Coach $49.99 5 5
Business $149.00 No per-athlete charge Unlimited
Enterprise Custom Custom Unlimited

An athlete membership is a Saturday app subscription that you pay for on an athlete's behalf. On the free Coach tier, the athletes you coach pay for their own memberships. On the Pro Coach and Head Coach tiers, each membership you pay for beyond those your tier includes is billed at $12.99 per month, less the volume discount in Section 11, and you may add assistant seats beyond those included for $10 per seat per month. On the Business tier, Saturday does not charge per athlete for the memberships you pay for. Saturday may set a fair-use limit for the Business tier with notice per Section 26.

Coach Trial

A new coach account may receive one 30-day trial of the Head Coach tier, with no payment card required. During the same 30 days, you may change the trial to the Business tier. When the trial ends, you move to the free Coach tier unless you have subscribed to a paid tier.

Auto-Renewal

Your coach tier subscription will automatically renew at the end of each monthly billing period unless you cancel before the renewal date. The renewal price will be the same as your then-current subscription price unless we notify you of a price change in advance.

How to Cancel

You may cancel your coach tier subscription at any time from the subscription page in the Portal or from the Stripe billing page linked there. Before you can cancel in the Portal, you must choose to return to each athlete the membership you pay for; each of those athletes keeps access for the grace period described in Section 10. Cancellation takes effect at the end of your current billing period, and you keep paid-tier features until then. You then move to the free Coach tier, and these Coach Terms continue.

Upgrades and Downgrades

An upgrade takes effect immediately, and the prorated difference is charged at once.

You may downgrade your tier at any time. A downgrade takes effect at the end of your current billing period, without proration. If you pay for more athlete memberships than the new tier includes, you must first choose, for each athlete above that number, either to keep paying for that athlete's membership at the per-athlete price or to return the membership to the athlete. An athlete whose membership is returned keeps access for the grace period described in Section 10. When the downgrade takes effect, assistants above the new tier's limit are suspended and keep their place in your organization, and API keys and webhooks are suspended if the new tier does not include them. Upgrading again restores them.

4. Athlete-Level Subscription Requirement

To subscribe or upgrade to the Pro Coach, Head Coach, or Business tier, you must hold an active athlete-level Saturday subscription for yourself. While you hold a paid coach tier, that tier covers your own access to the Saturday app. This requirement does not apply to the free Coach tier.

5. Stripe Connect and Your Role as Merchant of Record

Stripe Connect Integration

Coaches on any tier, including the free Coach tier, may activate Stripe Connect to bill athletes directly for coaching services. By activating Stripe Connect, you agree to:

  • The Stripe Connected Account Agreement, which governs your relationship with Stripe.
  • The Stripe Services Agreement, incorporated by reference into the Connected Account Agreement.

Saturday creates your Stripe account through Stripe Connect, and you complete onboarding with Stripe. Your Stripe account is yours, and you have full access to it through the Stripe Dashboard. As the Connect platform, Saturday can reverse payments it transferred to your account, as described in Section 7.

Merchant of Record

You are the merchant of record for the payments your athletes make to you through the Portal. Saturday's Stripe account processes these payments on your behalf and transfers them to your Stripe account. You (not Saturday) are the seller in the transaction between you and your athletes. You are solely responsible for: setting rates, communicating billing terms, providing receipts, delivering the coaching services you charge for, complying with consumer protection laws in your jurisdiction, and handling refunds and customer disputes with your athletes.

Independent Contractor Status

You are an independent contractor. Nothing in these Coach Terms creates an employment, agency, joint venture, partnership, or franchise relationship between you and Saturday. You set your own rates, determine your own schedule, choose your own coaching methods, and control the means and manner of your work. Saturday provides infrastructure only. You will not represent yourself as an employee, agent, or representative of Saturday.

Tax Obligations

You are solely responsible for all tax obligations arising from your coaching income, including income tax, self-employment tax, sales tax (where applicable), and value-added tax. The Portal links to your Stripe account, where you manage your payout details and see the tax forms Stripe makes available for your account. All income is taxable regardless of whether you receive a tax form. Saturday is not your tax advisor and provides no tax guidance.

6. Platform Fee

Saturday charges a platform fee of 3% (300 basis points) on each payment your athletes make to you through the Portal, with a minimum of $1.00 per payment. The platform fee is deducted automatically before the payment is transferred to your Stripe account. The Portal's billing pages show the platform fee on your payments.

Saturday does not charge a platform fee on:

  • Your coach tier subscription payment to Saturday (that is a separate transaction between you and Saturday).
  • An athlete's independent Saturday app subscription (that is between the athlete and Saturday).
  • Charges that are fully refunded.

Stripe's processing fee on each payment is separate from and in addition to Saturday's platform fee, and is deducted from the payment before it is transferred to your Stripe account.

7. Refunds and Disputes

Your Refund Policy

As merchant of record, you are responsible for establishing, communicating, and honoring your own refund policy with your athletes. Saturday recommends that you clearly communicate your refund terms to athletes before establishing a billing arrangement.

Refund Mechanics

Refunds of your athletes' payments are issued through the Portal. When a payment is refunded, in full or in part:

  • Your athlete gets back the amount refunded.
  • Saturday's platform fee is charged only on the part of the payment that is not refunded: on a full refund, no platform fee is charged; on a partial refund, Saturday keeps its fee in proportion to the part not refunded and returns the rest of its fee to you.
  • Stripe does not refund its processing fee, and you bear all of it, on a full or a partial refund.
  • The refund is recorded in the financial ledger for both you and the athlete.

A payment that is under dispute, or whose dispute was lost, cannot be refunded.

Disputes and Chargebacks

When an athlete disputes a payment, Stripe debits the disputed amount and its dispute fees from Saturday, and you bear both: the disputed amount is taken back from the transfer of that payment to you, and whatever that transfer no longer covers, and every dispute fee Stripe keeps, is taken from your Stripe balance. Saturday keeps its platform fee on the payment. An inquiry that withdraws no funds moves no money.

If Saturday cannot take these amounts from your Stripe balance, you owe them to Saturday, and Saturday recovers them from your next payments through Saturday by keeping that much more of each payment. A payment never leaves you less than zero; what one payment cannot cover comes out of the next. If a payment Saturday recovered from is later refunded, what it can no longer cover is recovered from your next payment instead.

If the dispute is resolved in your favor, you bear only the dispute fee Stripe keeps: what you still owe for the dispute is cancelled, and Saturday pays you back what was taken from you or recovered for it, less that fee.

You are responsible for responding to disputes promptly and in good faith and will provide the information Saturday reasonably requests to respond to them. Excessive disputes, refunds, or reversals may result in Stripe suspending or closing your Connect account, and Saturday may restrict or terminate your Portal access under Section 19.

8. Athlete Data Access and Responsibility

How Coach-Athlete Relationships Are Established

A coach-athlete relationship may be established on the platform in the following ways:

  • Coach invitation (Case B). You send an invitation to an athlete's email address. The athlete accepts in the Saturday app or on the invitation page at coach.saturday.fit, while signed in to an account whose verified email address matches the invitation. You gain access to the athlete's data only after the athlete accepts.
  • In person. An athlete signed in to their own Saturday account confirms the connection with you in the Saturday app.
  • Coach-managed account creation (Case A). You create an account on behalf of an athlete in the Saturday app by entering their information directly. Saturday does not notify the athlete when you create it. When you create an account on behalf of an athlete, you represent and warrant that the athlete has consented to your creation of the account and your access to their data, and that you have provided the athlete with notice of how their data will be used. Saturday relies on this representation. It is your responsibility to ensure the athlete is aware that the account exists and that you have access.
  • Handoff between coaches. A coach with an active relationship may propose transferring or sharing the athlete with you, or making you the athlete's primary coach, and an organization may propose reassigning an athlete from a departing coach. Each requires the athlete's approval; a transfer or a change of primary coach also requires your acceptance.

Account claim. For an account you created, you may send the athlete a claim link. When the athlete redeems it while signed in to their own Saturday account, the activities, products, and per-activity product choices in the account you created move into the athlete's account, and your relationship moves with them.

What You Can Access

Per-relationship access is governed by eight permission keys: view profile, view activities, create activities, edit activities, edit settings, view products, view AI insights, and view AI conversations. A new relationship is created with view AI insights off, view AI conversations not granted, and the other six permissions on. Neither you nor the athlete can change them after the relationship is created. If a permission key is absent from a relationship, the system treats it as granted, except view AI conversations, which it treats as not granted.

Specifically, coaches can:

  • Read athlete profile data and, where the relationship allows edit settings, change it, except the athlete's account ID, email address, insider and early adopter status, Saturday staff flags, plan tier, organization assignment, coach trial fields, app store age band, and engagement signals. You may start an athlete's free trial once and cannot change a trial that has started.
  • Read athlete activities, create them where the relationship allows create activities, and edit or delete them where it allows edit activities, except the athlete's post-activity report and activities that carry one.
  • Read athlete product and supplement configurations and, where the relationship allows edit settings, change them.
  • Adjust athlete nutrition settings where the relationship allows edit settings.
  • Read the sleep entries the athlete records in the Saturday app.
  • Interact with Saturday AI about athlete data (where AI features are available), within the relationship's permissions. Summaries of the athlete's conversations with Saturday AI are available only where view AI insights is granted.

Coaches cannot:

  • Access athlete integration tokens (TrainingPeaks, Intervals.icu, or other third-party OAuth connections). These tokens authenticate as the athlete on third-party services and are exclusively athlete-accessible.
  • Access athlete purchase records or payment information. The Portal shows whether each athlete's Saturday membership is active, in a trial, or expired, and who pays for it.
  • Delete the athlete's account.
  • Change the athlete's email address.

Athlete Revocation

Athletes may revoke your access at any time in the Saturday app (Your Profile > Preferences > My Coaches). Revocation is immediate. Upon revocation, the coach-athlete relationship status is set to "revoked," and your access to the athlete's profile, activities, and products ends, along with the access of any assistant coach working with you on that athlete. If you pay for the athlete's membership, that coverage enters the grace period described in Section 10. An organization member whose role lets them view the data of athletes enrolled in the organization keeps that access while the athlete stays enrolled. Historical audit log entries and financial ledger entries are retained.

Your Data Obligations

You must use athlete data solely for the purpose of providing coaching services to that athlete. You may not:

  • Use athlete data for advertising, marketing, or solicitation unrelated to the coaching relationship.
  • Sell, license, or disclose athlete data to any third party.
  • Retain copies of athlete data after the coaching relationship ends, except as required by law or as reasonably necessary for tax or legal compliance.
  • Use athlete data to compete with Saturday or to build competing products or services.

See our Coach Privacy Policy for additional details on data handling.

9. Trial Grants

Depending on your tier, you may grant trial extensions to athletes whose accounts you created, while your coaching relationship with them is active. During a coach trial, your tier is the tier you are trying. Each tier includes an annual allocation of trial grants:

Tier Grants per Year
Coach (Free) 2
Pro Coach 4
Head Coach 8
Business 20
Enterprise 100

On a paid tier, your year runs from the anniversary of your subscription to that tier. On the free Coach tier, it runs from the anniversary of the day Saturday recorded you becoming a coach or, if Saturday has no such record, of your first trial extension. If you change tiers during a year, that year keeps its end date and the grants you have used, and your allowance for the rest of it is the new tier's, less those grants; a tier change never gives you a second allowance within one year. Unused grants do not roll over.

Each trial extension adds 14 days to the end of the athlete's free trial, or to the day it is granted if the trial has ended or never started. Each athlete may receive one trial extension in their lifetime on the platform, regardless of how many coaches offer them one. Trial grants do not obligate the athlete to purchase a subscription.

10. Coverage and Grace Period

Athletes on the platform have coverage records that determine their subscription access. Coverage may be funded by the athlete themselves, by you as their coach, by an organization, or by other sources.

When coverage that a coach or organization pays for ends, the athlete enters a 14-day grace period during which they retain full access to the Saturday app. This happens when you or the athlete end your coaching relationship; when the paying coach stops paying for the athlete's membership in the Portal, or returns it when cancelling or downgrading their tier; when the athlete moves to a primary coach who does not pay for their membership; when an organization's proposal to reassign the athlete is declined, expires, or cannot be completed; when the paying coach deletes their Saturday account; when the paying organization is dissolved under Section 12; or when a paying assistant coach's membership in their organization ends. During the grace period, the Saturday app shows the athlete that their membership is ending. Except when the coverage ended because a paying assistant coach's membership ended, Saturday also sends the athlete a push notification that their coach no longer covers them and, unless the athlete keeps access another way, an email with an offer to keep their membership. After grace expiry, the athlete's access lapses unless replaced by another coverage source (such as the athlete purchasing their own subscription). A daily automated process reviews expired grace periods and transitions coverage to "lapsed" status.

11. Volume Discounts

On the Pro Coach and Head Coach tiers, each athlete membership you pay for beyond those your tier includes is billed at $12.99 per month, less a volume discount based on how many such memberships you pay for. Discount brackets are as follows:

Athletes Discount
1 – 90%
10 – 195%
20 – 4910%
50 – 9915%
100 – 19920%
200 – 29930%
300 – 59940%
600+50%

The same discount rate applies to every such membership. When the number of these memberships changes, the rate and quantity on your subscription update at that time, and the prorated difference is charged or credited at once. Saturday reserves the right to adjust discount brackets with notice per Section 26.

12. Organization Hierarchy

Structure

Each coach account receives an organization when it is created, with the coach as its owner, who holds the Owner role. Coaches on the Head Coach tier and above, including during a trial of those tiers, may create sub-organizations beneath an organization they administer; each sub-organization records its chain of parent organizations. By default, the roles an organization member may hold allow the following:

  • Owner: administers the organization (members, roles, billing, branding, API keys, webhooks, single sign-on, sub-organizations, custom roles, coverage, and refunds), views its audit log, and reads and changes the data of athletes enrolled in the organization.
  • Program Admin: the same administration of the organization as the Owner, without access to athlete data.
  • Performance Director: views the profiles, activities, and products of athletes enrolled in the organization, and its member list.
  • Billing Manager: manages the organization's billing, coverage, and refunds, and views its member list.
  • Head Coach: coaches their own athletes, and manages the organization's members, billing, branding, sub-organizations, and custom roles.
  • Coach: coaches their own athletes, including billing them through Stripe Connect.
  • Assistant Coach: views the profiles and activities, and changes the activities and settings, of the athletes assigned to them.
  • Read-Only Coach: views the profiles, activities, and products of the athletes assigned to them.

Coaches on the Head Coach tier and above may also define custom roles.

Owner Responsibilities

The organization owner is responsible for all member compliance with these Coach Terms. Parent organizations are responsible for the compliance of their child organizations. This includes ensuring that members handle athlete data appropriately, maintain accurate billing arrangements, and comply with applicable laws.

Ownership Transfer

An organization's owner may offer the organization to another active member who holds a role other than Athlete. The member has 7 days to accept or decline, and the owner may withdraw the offer until it is answered; the offer also ends if the member stops being an active member with such a role. When the member accepts, they become the owner and hold the Owner role, and the former owner stays in the organization as a Head Coach. Accepting a top-level organization also transfers the sub-organizations under it that the former owner owns. An organization that has, or has a sub-organization with, its own plan billed through Stripe cannot be transferred until Saturday support moves that billing.

When an Organization's Last Owner Deletes Their Account

When an owner deletes their Saturday account, each organization they own is handled as follows:

  • If another active member holds the Owner role, the organization continues with that member as its owner (the earliest to join, if there are several). A sub-organization with no other Owner passes instead to the owner of the nearest organization above it that still has one, who becomes an Owner of the sub-organization. An organization never passes to someone whose account has been deleted. In either case, any ownership offer the departing owner made is withdrawn.
  • If the organization is a top-level organization that no other member, sub-organization, group of another coach, plan, coverage, or other record uses, it is deleted with its member records, groups, branding, and logo files.
  • Otherwise, the organization is dissolved together with every organization under it. For each dissolved organization:
    • every membership ends, including pending invitations;
    • coverage it pays for enters the grace period described in Section 10, and each athlete is told as described there;
    • an assistant coach whose membership ends loses access to the athletes of the coaches they assisted; if nothing else pays for their seat, their own features return to the free Coach tier, coverage they pay for enters the grace period, and they receive an offer to subscribe; and a head coach who paid for the assistant's seat stops paying for it;
    • a group a member created there becomes that member's own, and a group whose coach no longer has an account is deleted;
    • its branding, logo files, single sign-on setup, custom roles, and webhooks are deleted, and its API keys stop working;
    • notes coaches shared with it stay with the coach who wrote them, and athletes enrolled in it are no longer enrolled;
    • its record is kept, without its name, its owner, or its verified domains.

Members keep their own athletes and coaching relationships.

Visibility

Administrators of a parent organization can view the members, structure, and audit log entries of its sub-organizations. Administrators of a sub-organization cannot view its parent organization. Organization members whose role lets them view the member list (by default the Owner, Program Admin, Performance Director, Billing Manager, and Head Coach roles) can see the athletes of every coach in the organization, including each athlete's name, email address, fueling concerns, compliance, last rating, and coverage.

13. Audit Logging

Saturday records administrative, relationship, billing, security, and privacy actions in an append-only audit log. Each entry records the actor, the action, the target, and a timestamp, and, for many actions, the values before and after the change, the user agent, and the IP address. Viewing athlete data is not recorded. Audit log entries are not changed after they are written. A daily job deletes entries once they are 1 year old, or 2 years old for security entries (impersonation, privacy requests, API keys, sessions, multi-factor authentication, single sign-on, roles and permissions, and device access grants), including entries about an account that has been deleted.

On the Business and Enterprise tiers, including during a trial of those tiers, organization members with the audit permission (by default the Owner and Program Admin roles) can view in the Portal the entries recorded for their organization and its sub-organizations.

Logged actions include, but are not limited to: coach invitations and acceptances, athlete account creation, billing arrangement changes, organization membership changes, role assignments, impersonation sessions, session revocations, MFA changes, privacy requests, and terms-of-service acceptances.

14. Impersonation

Saturday staff may sign in as your account (impersonation) to provide support or investigate a problem. Impersonation is subject to the following safeguards:

  • A written justification is required before each impersonation session. Impersonation without a justification is not permitted by the system.
  • Each impersonation session is limited to 30 minutes and automatically expires.
  • The start of each session is recorded in the audit log with the staff member, your account, the justification, and the start time. When a staff member ends a session, the end is recorded as well.
  • Saturday does not email you when a session starts or ends.
  • While impersonating you, staff cannot delete your account or request a copy of your data.

15. Coach Content and Intellectual Property

Your Content

You retain ownership of all athlete-specific plans, notes, custom workouts, and other original content you create on the Portal ("Coach Content"). By using the Service, you grant Saturday a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, and display Coach Content solely to the extent necessary to operate and provide the Service (for example, rendering your plans in the athlete's app view). This license terminates when you delete the Coach Content or close your account, except to the extent copies exist in audit logs or backups retained per our data retention policies.

Saturday's Intellectual Property

Saturday retains all right, title, and interest in the Portal, its documentation, trademarks, logos, AI-generated content, infrastructure, algorithms, and all related intellectual property ("Saturday IP"). No rights in Saturday IP are granted to you except the limited right to use the Service as provided in these Coach Terms.

Feedback

If you submit comments, suggestions, or other communications regarding the Service ("Feedback"), you grant Saturday a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, and display such Feedback for any purpose. You retain ownership of your Feedback. Routine support communications (bug reports, account inquiries, technical support requests) are not Feedback and are not subject to this license.

16. Scope of Practice: Nutrition and Training Advice

Saturday provides a nutrition and hydration recommendation engine. Neither Saturday nor the Portal provides medical advice. You acknowledge and agree that:

  • You are solely responsible for ensuring that your nutrition, training, and health-related advice to athletes complies with all applicable scope-of-practice laws in the jurisdictions where you and your athletes are located. Nutrition counseling and dietetics are regulated activities in numerous U.S. states (including but not limited to California, New Jersey, Rhode Island, Ohio, and Florida) and in many countries. Providing nutrition advice without appropriate licensure may violate state or federal law.
  • You are not providing medical advice through the Portal, and you will not hold yourself out as providing medical advice unless you are a licensed medical professional acting within your scope of practice.
  • Saturday is not responsible for the regulatory compliance of your advice. Saturday does not verify your credentials, licenses, or certifications.
  • You will advise athletes to consult qualified healthcare professionals before making changes to their diet, supplement intake, or exercise routine.

17. FTC Endorsement Compliance

If you promote Saturday to your athletes, or if you promote your athletes or their results in connection with your use of the Portal, you must comply with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), as amended. Where a material connection exists between you and Saturday (for example, you receive compensation, a free trial of a coach tier, or other benefits from Saturday), you must disclose that connection clearly and conspicuously in any endorsement or testimonial. You are solely responsible for your compliance with the FTC Endorsement Guides.

18. Marketplace and Facilitator Status

Saturday provides infrastructure that connects coaches and athletes. Saturday is not a party to any coaching services agreement between you and your athletes. Saturday does not:

  • Guarantee coaching outcomes, athlete performance, or the quality of coaching services.
  • Guarantee athlete behavior, payment, or compliance with your policies.
  • Verify or certify coach competence, credentials, or fitness for any purpose.
  • Endorse any particular coach or coaching methodology.

Disputes between you and your athletes regarding coaching services, billing terms, refunds, or any other matter must be resolved between you and the athlete. Saturday may, but is not obligated to, assist in facilitating communication between the parties.

19. Termination

Termination by You

You may cancel a paid coach tier at any time; you then move to the free Coach tier, keep using the Portal, and these Coach Terms continue. To end these Coach Terms, delete your Saturday account from the Close account page in the Portal or in the Saturday app. This deletes your whole Saturday account, including your app data. When you delete it:

  • Each billing arrangement with an athlete that is active, past due, or paused is canceled at once, with no refund; unpaid invoices are voided, and the athlete is emailed.
  • Your Stripe Connect account remains your property. Saturday does not close it; Saturday deletes its own record of the account.
  • Your coaching relationships end and their records are deleted, along with the invitations you sent and the transfers and handoffs that name you. Athletes whose membership you pay for keep full access for the grace period described in Section 10 and are notified.
  • An athlete account you created is deleted with all its data if the athlete never signed in to it, used it, connected an app to it, claimed it, or paid for anything in it, and no one else still has it: no other coach's relationship or proposed reassignment, no group of another coach or of an organization that continues, no continuing organization it is enrolled in, and no coverage paid by anyone but you. Every other account you created stays with its athlete, as do athletes' own accounts, their data, and any subscription they pay for themselves.
  • Your private notes about athletes are deleted. Notes coaches wrote about you as an athlete stay with them.
  • Organizations you own are handled as described in Section 12. Your memberships in other organizations end, and the membership records are kept without your email address.
  • Your web plans, including your coach tier, stop renewing and end with the period you paid for, with no refund; a plan whose payment is failing ends at once. A plan bought through the App Store or Google Play keeps renewing until you cancel it there.
  • Billing records are kept for at least 7 years, your acceptance of these Coach Terms for 120 days, and audit log entries for the periods in Section 13.

Termination by Saturday for Breach

If you breach any material provision of these Coach Terms and fail to cure the breach within thirty (30) days of written notice specifying the breach, Saturday may terminate your access to the Service. No refund of prepaid fees is provided upon termination for breach.

Termination by Saturday for Cause

Saturday may suspend or terminate your access immediately, without prior notice, if Saturday reasonably determines that: (a) your conduct poses a risk of harm to athletes or other users; (b) you have engaged in fraud, criminal activity, or material misrepresentation; (c) you have incurred excessive disputes, refunds, or reversals through your Stripe Connect account; (d) Stripe has suspended or closed your Connect account; or (e) continued provision of the Service to you would violate applicable law.

Effect of Termination

Upon any termination, your right to access the Portal ceases. Sections that by their nature should survive will survive, as specified in Section 27.

20. Warranty Disclaimer

SATURDAY MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, regarding the Service, the Portal, or use thereof, including warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade. The Service is provided "AS IS," "AS AND WHERE AVAILABLE," and "WITH ALL FAULTS." No oral or written information from Saturday creates a warranty. Saturday does not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.

21. Limitation of Liability

UNDER NO CIRCUMSTANCES will Saturday be liable for any special, indirect, incidental, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of present or prospective revenues, profits, or business opportunities.
  • Loss of athlete relationships or coaching contracts.
  • Loss of data.
  • Cost of substitute services.
  • Expenditures, investments, or commitments related to business reputation or goodwill.
  • Damages arising from disputes between you and your athletes.
  • Any other reason whatsoever, whether in contract, tort (including negligence), strict liability, or otherwise, even if Saturday has been advised of the possibility of such damages.

Saturday's total aggregate liability under these Coach Terms shall not exceed the total amounts you have paid to Saturday (for coach tier subscriptions, not including athlete charges processed through Stripe Connect) in the twelve (12) months preceding the claim giving rise to liability.

22. Indemnification

You shall defend, indemnify, and hold harmless Saturday, its affiliates, and their respective directors, officers, employees, agents, contractors, successors, and assigns (collectively, the "Saturday Parties"), and on behalf of yourself, your spouse, children, guardians, heirs, next of kin, and any legal and personal representatives, executors, administrators, successors, and assigns, from and against any and all claims, actions, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees and accounting fees) of every kind (known and unknown, foreseen and unforeseen) arising from or attributable to:

  • Your use of the Portal and Service.
  • Your coaching relationship with athletes, including any coaching advice, training plans, or nutrition recommendations you provide.
  • Your nutrition, dietetics, or health-related advice, including claims that such advice was provided without proper licensure or in violation of scope-of-practice laws.
  • Your tax obligations, including failure to report income, withhold taxes, or comply with tax laws.
  • Your failure to comply with applicable laws, regulations, or professional licensing requirements.
  • Your misuse of athlete data or breach of athlete privacy.
  • Your breach of any representation, warranty, or obligation under these Coach Terms.
  • Any content you create, upload, or transmit through the Service.
  • Any claim that your use of the Service infringes or violates a third party's intellectual property or other rights.

If you attempt to bring a claim against the Saturday Parties in violation of these Coach Terms, the Saturday Parties may seek to recover their costs, including reasonable legal fees.

23. Representations and Warranties

Your Representations

You represent and warrant that:

  • You have full authority and capacity to enter into these Coach Terms and to perform your obligations hereunder.
  • All information you provide to Saturday and Stripe is and will remain accurate, current, and complete.
  • You will comply with all applicable laws, including tax laws, independent contractor classification requirements, dietetics and nutrition licensing requirements, consumer protection laws, and the FTC Endorsement Guides.
  • You will not use the Portal for any illegal purpose or in any manner that violates these Coach Terms.
  • You hold all necessary licenses, certifications, and permits required to provide coaching services in your jurisdiction, or you will obtain them before providing such services.
  • When creating accounts on behalf of athletes (Case A), you have obtained the athlete's consent and have provided adequate notice regarding data access and use.

Saturday's Representations

Saturday represents that it has the rights necessary to provide the Service and will operate the Service in accordance with these Coach Terms and applicable laws.

24. Binding Arbitration and Class Action Waiver

For any dispute arising under or relating to these Coach Terms, the Service, or the Portal (each a "Dispute"), you and Saturday agree to resolve the Dispute through binding arbitration governed by the Federal Arbitration Act ("FAA"), rather than in court, except as provided below.

IF YOU AGREE TO ARBITRATION, YOU AND SATURDAY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO LITIGATE DISPUTES IN COURT. Discovery and appeal rights may be more limited than in court.

Disputes are resolved before a neutral arbitrator whose decision is final except for limited FAA appeal rights. Arbitration is administered by Judicial Arbitration and Mediation Services ("JAMS") pursuant to JAMS' Streamlined Arbitration Rules and Procedures if applicable, or JAMS' Comprehensive Arbitration Rules and Procedures with Expedited Procedures.

Location and Format

The arbitration may be conducted by telephone, video conference, or other remote means if you prefer, or in person in Phoenix, Arizona.

Fees

For claims totaling less than $10,000, Saturday will pay all JAMS filing and arbitration fees. For claims of $10,000 or more, fees will be allocated as provided by JAMS rules.

Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

Opt-Out

You may opt out of this arbitration provision by sending written notice to legal@saturdaymorning.fit within 30 days of first accepting these Coach Terms. If you opt out, you and Saturday retain all rights to seek remedies in court. If you previously opted out of the arbitration provision in the App Terms, that opt-out applies here as well.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the Dispute between you and Saturday individually. To the fullest extent permitted by law: (i) no arbitration shall be joined with another proceeding; (ii) no class action, collective action, or representative action procedures may be utilized; and (iii) no Dispute may be brought in a purported representative capacity on behalf of the general public or other persons.

YOU AND SATURDAY EACH AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

25. Governing Law and Jurisdiction

These Coach Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Each party consents to the exclusive jurisdiction of any state or federal court located in Maricopa County, Arizona, for any proceedings not subject to arbitration. The United Nations Convention on the International Sale of Goods is specifically excluded.

EU/EEA Consumer Protection

If you are located in the European Union or European Economic Area, nothing in these Coach Terms affects your rights under mandatory local consumer protection laws. Any limitation of liability, warranty disclaimer, arbitration clause, or other provision applies only to the extent permitted by the laws of your country of residence.

26. Modifications

Saturday may modify these Coach Terms at any time. We will provide at least fourteen (14) days' advance notice of material changes by email and/or by notice in the Portal. If you do not object to the changes within the notice period, the amended terms become effective at the end of the notice period. If you disagree with a material change, you may terminate your account, but you must stop using the Service.

When we update these Coach Terms, we publish a new version, and the Portal shows a notice asking you to review and accept it. Before accepting, you must reach the end of the terms and confirm that you have read them. A coach who has never accepted these Coach Terms must accept them before using the Portal. If you have accepted an earlier version, you may postpone your review and continue using the Portal; the amended terms take effect as described above.

27. General Terms

Force Majeure

Saturday shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service provider failures (including Stripe outages). Saturday will use reasonable efforts to mitigate the effect of such events and resume performance as soon as practicable.

Severability

If any provision of these Coach Terms is held invalid or unenforceable by a court of competent jurisdiction, such invalidity does not affect the remainder of these Coach Terms, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

Survival

The following sections survive any termination of these Coach Terms: Section 5 (Stripe Connect, to the extent of accrued obligations), Section 6 (Platform Fee, for charges processed before termination), Section 7 (Refunds and Disputes, for charges processed before termination), Section 8 (Athlete Data, data obligation provisions), Section 13 (Audit Logging), Section 15 (Intellectual Property), Section 20 (Warranty Disclaimer), Section 21 (Limitation of Liability), Section 22 (Indemnification), Section 23 (Representations and Warranties), Section 24 (Arbitration and Class Action Waiver), Section 25 (Governing Law), and this Section 27.

Assignment

You may not transfer or assign these Coach Terms or any rights or obligations hereunder without Saturday's prior written consent. Saturday may freely assign these Coach Terms, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

Waiver

Failure by Saturday to enforce any provision of these Coach Terms is not a waiver of that provision or any other provision. A waiver is effective only if in writing and signed by Saturday.

Entire Agreement

These Coach Terms, together with the App Terms of Use & License Agreement, the Privacy Policy, the Coach Privacy Policy, and any additional terms referenced herein (including the Stripe Connected Account Agreement), constitute the entire agreement between you and Saturday regarding the Service, and supersede all prior or contemporaneous agreements, understandings, and communications relating to the subject matter hereof.
